Terms of Service

These Terms govern your access to and use of Bookly (the "Service"), operated by [Legal Entity Name] (UEN [________]) ("Bookly", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Bookly is bookkeeping software that uses automated tools, including AI, to read documents you upload (such as bank statements, receipts and invoices), categorise transactions, and generate reports and an Excel workbook. Bookly is a software tool, not an accountant, auditor, tax agent or financial adviser, and does not provide accounting, audit, tax, legal or financial advice. Any tax figures are estimates for your own use and are not filing figures.
2. Your account
You must provide accurate information, keep your credentials secure, and be at least 18 years old and able to form a binding contract. You are responsible for all activity under your account.
3. Plans, billing & cancellation
Paid plans are billed per business (per company or sole-proprietor profile) on a recurring monthly or annual basis through our payment processor, Stripe. Subscriptions renew automatically until cancelled. You can cancel anytime; access continues until the end of the paid period, after which a read-only grace period applies before data is deleted. Except where required by law, fees are non-refundable. We may change prices on reasonable notice; changes apply from your next renewal.
4. Your data & content
You retain all rights to the documents and data you upload. You grant Bookly a limited licence to host, process and display that data solely to provide the Service to you (including sending it to our sub-processors, e.g. for AI extraction). You are responsible for having the right to upload it and for the accuracy of the information you provide.
5. AI output & your responsibility to review
Automated extraction and categorisation can be incomplete or wrong. You are responsible for reviewing, correcting and verifying all figures before relying on them, sharing them, or using them for any filing, statutory or financial purpose. Bookly does not guarantee the accuracy, completeness or fitness of any output.
6. Acceptable use
You agree not to misuse the Service, including: uploading unlawful content or content you have no right to use; attempting to break, overload or reverse-engineer the Service; or using it to violate any law. We may suspend or terminate accounts that breach these Terms.
7. Intellectual property
The Service, including its software, design and content (excluding your data), is owned by Bookly and its licensors. These Terms grant you no rights to our trademarks or software except the right to use the Service.
8. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, Bookly will not be liable for any indirect, incidental, special or consequential losses, or for any loss of profits, data, or goodwill. Our total liability arising out of or relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law.
10. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to comply with law. On termination, your right to use the Service ends; data handling follows our Privacy Policy and the grace period above.
11. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Continued use after changes take effect means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction, subject to any mandatory consumer-protection rights you may have.
